4. Client Responsibilities
Clients agree to:

Provide accurate, complete, and timely information, content, and approvals.

Ensure they hold legal rights to all materials provided (logos, images, text, videos, trademarks).

Review and approve deliverables within reasonable timeframes to avoid project delays.
Madras Monk shall not be liable for delays caused due to client inaction or incomplete inputs.
5. Payments & Billing

All prices are quoted in Indian Rupees (USD or INR) unless otherwise stated.

Payments must be made as per the agreed milestone or invoice terms.

Advance payments, once made, are non-refundable, unless explicitly stated in writing.

Late payments may result in project suspension or delayed delivery.
6. Intellectual Property Rights
6.1 Agency IP

All concepts, drafts, designs, source files, strategies, and creative assets remain the intellectual property of Madras Monk until full payment is received.

Madras Monk retains the right to showcase completed work in its portfolio, website, and marketing materials unless otherwise agreed.
6.2 Client IP

Upon full payment, final approved deliverables are transferred to the client for intended usage.

Source files, raw footage, or editable files may be shared only if agreed upon in writing.
7. Revisions & Approvals

Revisions are limited to the number specified in the proposal.

Any additional revisions beyond the agreed limit may be chargeable.

Approval at any stage confirms acceptance of the work completed up to that point.
8. Confidentiality
Both parties agree to maintain confidentiality of all proprietary, sensitive, or business-related information shared during the course of the project, unless disclosure is required by law.
9. Third-Party Services
Madras Monk may use third-party tools, platforms, plugins, hosting providers, or APIs. We are not responsible for:

Downtime or failures caused by third-party services

Changes in third-party pricing, policies, or functionality
10. Limitation of Liability

Madras Monk shall not be liable for any indirect, incidental, consequential, or special damages.

Our total liability shall not exceed the amount paid by the client for the specific service in question.

We do not guarantee specific business results, revenue growth, or performance metrics unless contractually agreed.
11. Termination
Either party may terminate the agreement with written notice if:

There is a material breach of these Terms

Payments remain unpaid beyond agreed timelines
In case of termination:

Work completed up to that point will be billed.

No refunds shall be issued for completed or ongoing work.
12. Force Majeure
Madras Monk shall not be liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, government actions, technical failures, or acts of God.
13. Governing Law & Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.
14. Modifications to Terms
Madras Monk reserves the right to modify these Terms at any time. Updated Terms will be effective upon posting on the website. Continued use of services constitutes acceptance of the revised Terms.
